Nigeria’s lending market is growing fast, and Port Harcourt is no exception. If you’re interested in obtaining a money lenders license in Rivers State, it’s important to know the legal requirements up front. Whether you’re launching a traditional lending business or building a digital lending platform, one thing is non-negotiable: you need a valid money lender’s license before you extend a single loan. Lend without one, and you’re not just risking penalties from regulators; your loan agreements become unenforceable in court, leaving you with no legal way to recover your money if a borrower defaults.
The good news? Rivers State, amongst other states, has one of the more straightforward licensing processes in the country. In this article, we’ll examine what it takes to get licensed as a money lender in Rivers State.
WHAT LAWS GOVERN MONEY LENDING IN RIVERS STATE?
Money lending in Nigeria sits at the intersection of Federal and State law. At the federal level, the Money Lenders Act provides the overarching framework, but actual licensing and enforcement happen at the state level.
In Rivers State, the Rivers State Money Lenders Law, 2013 is the key legislation governing money lending operations. It mandates anyone carrying on a money lending business within the state to be licensed, and it sets out standards for fair and ethical lending practices.
If you’re planning to provide lending services through digital platforms such as a mobile app, website, etc, there is an added layer. The Federal Competition and Consumer Protection Commission (FCCPC) separately regulates digital lending nationwide, so a Rivers State license alone may not be enough if your lending happens online.
WHY OBTAINING A MONEY LENDERS LICENSE IN RIVERS STATE IS DIFFERENT FROM LAGOS
If you’ve researched money lender licensing procedure in Lagos, you may already have a picture of a slow, document-heavy process. Rivers State is refreshingly different for several reasons;
- No disclosure of the company’s source of funds and its financial records/statement requirement. In Lagos, disclosure of a company’s source of funds and financial records is a requirement for the license process.
- No police clearance certificate is required. Lagos State requires police clearance for company directors. Rivers State does not.
- No office inspection. In Lagos State, a physical inspection of the applicant’s business premises must be carried out before a license is issued. This is not a requirement in Rivers State.
Put simply, the process in Rivers State is faster and less bureaucratic, but that doesn’t mean it’s a process you can afford to get wrong.
HOW TO OBTAIN A MONEY LENDERS LICENSE IN RIVERS STATE
Step 1: Incorporate your company with the Corporate Affairs Commission
Before you can apply for a money lender’s license, your business must be incorporated with the Corporate Affairs Commission (CAC).
Before you can apply for a money lender’s license, your business must be incorporated with the Corporate Affairs Commission (CAC). Some of the requirements needed for the process are;
- Proposed name(s) of the company
- Contact information of the company such as address, email, etc
- Details of shareholders, directors, and company secretary, including full names, addresses, email, phone number, date of birth, occupation, a valid government-issued ID, and an electronic signature
Under the Companies and Allied Matters Act (CAMA) 2020, a company can technically be registered with just one shareholder and director. In practice, though, we recommend structuring your money lending company with at least two shareholders and two directors as this aligns with what licensing authorities generally expect to see, and avoids questions later in the process.
Step 2: Apply for your money lenders license
With your company incorporated, the next step is putting together your application package for the license itself. In Rivers State, you’ll need;
- An application letter
- A copy of the company’s incorporation documents
- Valid means of identification of the director(s)
- A passport photograph of the director(s) above to be attached to the application letter
It’s worth knowing what Rivers State does not ask for, since these are common stumbling blocks in other states: you need a director’s tax clearance certificate, and you don’t need a police clearance certificate.
Step 3: Submit your application and pay the application fee
Once your documents are ready, your application is submitted to the issuing authority for a money lender license in Rivers State.
You’ll need to pay an application/processing fee.
TIMELINE AND VALIDITY OF YOUR LICENSE
Once your application is submitted with all the correct documents, processing typically takes about 21 working days.
Your license is valid for one year, but here’s the detail many new lenders miss: regardless of when in the year your license is issued, it expires on 31st December of that year. If you’re licensed in September, for example, your license still expires that December, not a full year later. You’ll need to renew annually to keep operating legally.
REQUIREMENTS FOR LICENSE RENEWAL
To renew your license, you’re required to provide the previous license issued and pay the renewal fee.
COMMON MISTAKES TO AVOID
Here are some mistakes to avoid as a first-time applicant;
- Assuming Lagos requirements apply. License requirements vary from state to state. Therefore, what applies in Lagos State will definitely not apply in Rivers State.
- Incomplete director documentation. A missing document required for the process can delay your application process
- Losing track of the expiry date. Because licenses expire on 31st December regardless of issue date, it’s easy to assume you have a full year and miss your renewal window.
WHY WORK WITH A LAWYER FOR THIS PROCESS
While the Rivers State process is more streamlined compared to Lagos, the process still involves a formal application, incorporation filings, etc and getting it wrong can mean delays or a rejected application. A lawyer familiar with the process can help you;
- Draft an acceptable application letter the first time
- Structure your company during the incorporation process, in a way that satisfies licensing expectations
- Track your renewal deadline so your license never lapses
- Advise on whether you also need FCCPC registration for digital licensing
In addition to the above, starting a money lending company entails more than getting it registered or licensed. Chasing after defaulting borrowers on a frequent basis can drain the company’s finances. Adequate structures must therefore be put in place to ensure that your business runs airtight lending operations, and a lawyer or law firm can help you achieve this.
